2. Description of Service

MVP Atlas provides a platform that:

• Connects startup founders with vetted development teams
• Allows founders to submit project briefs and requests
• Enables development teams to apply as partners
• Facilitates matching between founders and development teams
• Provides information and resources about MVP development

MVP Atlas acts as a facilitator and is not directly involved in the contractual relationships between founders and development teams.

3. User Accounts and Registration

Account Creation

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services.

4. User Conduct

You agree not to:

• Provide false, misleading, or inaccurate information
• Impersonate any person or entity
• Use the service for any illegal or unauthorized purpose
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any part of the service
• Use automated systems to access the service without permission
• Collect or harvest any information from other users
• Post or transmit any harmful, offensive, or inappropriate content

5. For Founders

Founder Briefs

When submitting a Founder Brief:

• You grant us permission to share your project information with matched development teams
• You acknowledge that we do not guarantee project completion or team performance
• You are responsible for your own due diligence when selecting a development team
• You agree to conduct all negotiations and contracts directly with the development team

Fast Track Service

If you opt for our Fast Track service:

• Fees are non-refundable once the matching process begins
• We will prioritize your request but cannot guarantee specific timelines
• The service fee covers matching and facilitation only, not development costs

6. For Development Partners

Partner Applications

When applying to become a development partner:

• You must provide accurate information about your company and capabilities
• You grant us permission to verify the information you provide
• You acknowledge that approval is at our sole discretion
• We may remove partners who violate these terms or receive poor reviews

Partner Obligations

As a development partner, you agree to:

• Respond to matched founder requests in a timely manner
• Provide accurate project estimates and timelines
• Deliver high-quality work as agreed with founders
• Handle all contracts and payments directly with founders
• Maintain professional conduct in all interactions

7. Payments and Fees

Platform Fees

MVP Atlas may charge fees for certain services, including:

• Fast Track service for founders
• Featured listings for development partners
• Premium partnership tiers

Payment Processing

Payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms and conditions. All fees are in USD unless otherwise specified.

Direct Transactions

All project development costs are negotiated and paid directly between founders and development teams. MVP Atlas is not involved in these transactions and takes no responsibility for payment disputes.

8. Intellectual Property

Our Content

All content on the MVP Atlas platform, including text, graphics, logos, and software, is owned by MVP Atlas or its licensors and protected by intellectual property laws.

User Content

By submitting content (briefs, applications, reviews, etc.), you grant MVP Atlas a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display that content for the purpose of operating and promoting our services.

Project Intellectual Property

Intellectual property rights for projects developed through our platform are determined solely by the agreements between founders and development teams. MVP Atlas has no claim to project IP.

9. Disclaimers and Limitations of Liability

Service "As Is"

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee:

• Successful matches between founders and development teams
• The quality, accuracy, or reliability of development team work
• Uninterrupted or error-free service
• Specific results or outcomes from using our platform

Limitation of Liability

To the maximum extent permitted by law, MVP Atlas shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the service
• Any conduct or content of any third party on the service
• Unauthorized access to or alteration of your transmissions or content
• Disputes between founders and development teams

10. Indemnification

You agree to indemnify, defend, and hold harmless MVP Atlas, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Any disputes between you and other users

11. Dispute Resolution

Between Users

MVP Atlas is not responsible for disputes between founders and development teams. You agree to resolve such disputes directly with the other party.

With MVP Atlas

Any disputes with MVP Atlas should first be addressed through our support team. If unresolved, disputes will be governed by the laws of [Your Jurisdiction] without regard to conflict of law provisions.

12. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice, for any reason including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity

Upon termination, your right to use the service will immediately cease. We are not liable to you or any third party for termination of access to our services.
